This Payment Policy outlines the terms and conditions governing all purchases and payments made by you (the "Consumer") through any website or platform operated by SpiritCode Institute PTY LTD ("we", "us", or "our").

By making a purchase from any website operated by SpiritCode Institute PTY LTD, you explicitly agree to comply with and be bound by the terms outlined herein.

Definitions

For clarity and ease of reference, the following definitions apply throughout this policy:

  • "Card": Refers to any credit or debit card (Visa or Mastercard) provided by the Consumer for making payments for Services.
     
  • "Consumer" or "you": Refers to any individual purchasing Services from SpiritCode Institute PTY LTD for personal use and not for business purposes.
     
  • "Content": Means all material published or provided by SpiritCode Institute PTY LTD or approved third parties through our websites, including text, graphics, video, audio, and other multimedia content.
     
  • "Instalment": Refers to each scheduled payment required as part of a Payment Plan.
     
  • "Material": Means any type of content or information posted or uploaded by you to our website or any platform associated with our websites.
     
  • "Our Website": Refers collectively to all websites and platforms owned or operated by SpiritCode Institute PTY LTD, including associated social media channels.
     
  • "Payment Plans": Refers to structured payment options allowing Consumers to pay for Services in recurring monthly or periodic instalments, as specified during the purchase process.
     
  • "Services": Means all coaching programs, courses, products, memberships, and services offered for sale through our website or associated platforms, including support and updates as clearly defined at the time of purchase.
     

Price, Payment, and Service Provision

  1. Price Changes:
    Prices for Services listed on Our Website are subject to change without prior notice. Should there be any discrepancy between the price displayed at the time of your order and the current price, we will contact you to confirm whether you wish to proceed at the updated price before providing the Services.
     
  2. Currency:
    Our Services are billed in Australian Dollars (AUD) or US Dollars (USD), clearly indicated on each Service’s purchase page.
     
  3. Payment Methods:
    You explicitly agree to pay all charges for our Services via your nominated PayPal account, credit, or debit card (Visa or Mastercard). You must supply valid payment details at the time of purchase.
     
  4. Invoices and Authorization:
    After selecting and paying for your chosen Service, you will receive an invoice via email, containing a unique invoice number. By completing your purchase, you authorize SpiritCode Institute PTY LTD to charge your nominated Card or PayPal account as indicated on the invoice for the total amount due.
     
  5. Payment Plans (Instalment Payments):
     
    • For eligible Services, we may offer a Payment Plan option allowing you to pay via recurring monthly or periodic instalments.
       
    • Payment Plans require payment via Visa or Mastercard only and are billed in advance according to the specific dates detailed in your order confirmation.
       
    • By selecting a Payment Plan, you expressly authorize SpiritCode Institute PTY LTD to automatically charge your nominated Card at each scheduled instalment due date without further notice or reference to you.
       
  6. Obligation to Complete Payment Plans:
    If you select a Payment Plan, you explicitly agree and acknowledge that you are legally obligated to complete all payments in full according to the schedule outlined in your order confirmation.
     
    • Under no circumstances are you permitted to cancel or terminate payments prematurely.
       
    • Failure to complete scheduled payments will result in immediate action, including but not limited to debt recovery procedures as outlined below.
       
  7. Sufficient Funds and Card Validity:
     
    • You are responsible for ensuring there are sufficient funds in your nominated account to cover payments when due.
       
    • You must notify us immediately, in writing, if your nominated Card or PayPal account is cancelled, suspended, expires, or otherwise ceases to be an available method for payments.
       
    • You are required to promptly nominate an alternative payment method or immediately pay all outstanding balances in full upon notification of any payment issue.
       
  8. Payment Default and Penalties:
     
    • Should you default on any scheduled Payment Plan instalment, we will attempt to re-debit the overdue amount from your nominated Card as soon as reasonably practicable.
       
    • You will be notified of any payment failure via your nominated email.
       
    • If the overdue amount is not successfully settled within 48 hours of notification, the entire remaining balance under your Payment Plan—including future instalments—becomes immediately due and payable.
       
    • You explicitly authorize us to charge your nominated Card or account immediately for this outstanding total without further notice to you.
       
    • Overdue payments will accrue penalty interest at a rate of 2% per annum higher than the rate set under the Penalty Interest Rates Act 1983 (Vic) from time to time. Interest accrues daily from the original due date until payment is received in full and is capitalised monthly.
       
  9. Debt Collection:
    In the event of continued non-payment or default, you explicitly acknowledge and agree that we reserve the right to refer your outstanding account to a debt collection agency or solicitor for immediate debt recovery action.
     
    • You will be responsible for all associated debt recovery costs, including legal fees and collection agency charges.

8. Account Access Restriction for Payment Default
In addition to clause 7, if you default on any scheduled Payment Plan instalment, we reserve the right to immediately restrict, suspend, or revoke your access to your online login account, Services, course materials, and any related digital platforms provided by SpiritCode Institute PTY LTD. Access will be promptly restored within 48 hours after all overdue amounts, including any accrued penalty interest and debt recovery fees, have been fully paid and cleared.

9. Indemnification
You agree to indemnify and hold harmless SpiritCode Institute PTY LTD, our directors, officers, employees, contractors, affiliates, agents, representatives, and service providers from and against any and all claims, liabilities, losses, damages, expenses (including reasonable legal fees on a full indemnity basis), costs, or charges arising directly or indirectly from:

  • Your breach of these payment terms and conditions;
     
  • Your violation of any applicable laws or regulations;
     
  • Non-payment or default under a Payment Plan; or
     
  • Actions taken by us to enforce debt recovery or to protect our legal and commercial interests under this agreement.
     

10. Method of Service Delivery
Our Services will be provided digitally via email, online access to course platforms, downloadable materials, online workshops or webinars, or in any other manner explicitly described on our Website or communicated clearly to you at the point of purchase.

11. Delay in Service Provision
If we anticipate a delay exceeding ten (10) days in the delivery of your purchased Services beyond the original provision date, we will promptly notify you via email, clearly stating the anticipated new delivery date or explaining the reason for the delay and your available options.

12. Cancellation and Refund Policy
Once service provision has commenced, you explicitly acknowledge and accept that cancellation is not permitted, and you remain legally obligated to fulfil the full payment amount, including all scheduled instalments under any Payment Plan.

  • You agree that no refunds or cancellations are permitted, except as strictly required under Australian Consumer Law.
     
  • If extraordinary circumstances warrant consideration for cancellation (at our sole discretion), you must provide clear written notice explaining your circumstances. However, even if cancellation is approved under exceptional conditions, no refunds will be issued for payments already processed or Services already provided.
     

13. Changes to Services
SpiritCode Institute PTY LTD reserves the right to update, alter, or modify the nature, format, content, or delivery of any Services at any time. We will notify you promptly via email or through clear notices posted on Our Website if any such changes significantly affect your use or experience of the Services.

14. Termination Due to Material Changes
If we make substantial changes to the Services that materially impact your ability to utilize them as originally described at your time of purchase, you may provide written notice to terminate your contract. However, termination under this clause does not relieve you of any obligations to complete outstanding payments for Services already rendered or digital materials already delivered, accessed, or downloaded.

15. Termination for Non-Compliance
If we implement a change to the Services that requires action or compliance from you, and you fail or refuse to undertake that action within a reasonable timeframe clearly communicated by us, we reserve the right to immediately terminate your access to the Services without further notice. In the event of termination under this clause, you explicitly acknowledge that no refunds will be provided, and any outstanding balances under a Payment Plan will remain immediately due and payable in full.

16. Non-Transferable Access
Your purchase of any Services from SpiritCode Institute PTY LTD provides exclusive, personal access to the content, resources, and materials. You explicitly agree not to share, distribute, lend, resell, or transfer your login credentials, access to Services, course content, or any other digital materials with or to any third party. Violation of this clause may result in immediate suspension or termination of your account and access to all purchased Services without notice, refund, or compensation.

17. Website and Service Availability
We commit to making reasonable efforts to maintain continuous and uninterrupted access to Our Website and Services. However, you explicitly acknowledge and accept that occasional interruptions or downtime due to scheduled maintenance, technical issues, or circumstances beyond our reasonable control may occur. Such interruptions or downtime do not constitute grounds for cancellation, refund, or compensation of any kind. When scheduled maintenance or known disruptions are expected, we will endeavor to provide you with advance notice via email or clear notifications posted on Our Website.

 


Please Note – Strict No-Refund Policy:

SpiritCode Institute PTY LTD maintains a strict no-refund policy. You explicitly acknowledge and agree that:

  • Once you enroll or purchase our Services, all sales are final, and no refunds or cancellations will be provided under any circumstances, except where expressly mandated by Australian Consumer Law.
     
  • If you choose to stop participating in or accessing the Services before completion, you will continue to be financially responsible for paying the full outstanding amount of your purchase, including any scheduled instalments under a Payment Plan.
     
  • Failure to complete any agreed-upon Payment Plan will result in the pursuit of collection through debt recovery agencies or legal channels, and you explicitly consent to being responsible for all associated collection costs and legal fees incurred.

Additional Clauses

 

1. Debt Recovery and Collections

In the event that you fail or refuse to complete payments under any agreed-upon Payment Plan, you explicitly acknowledge and accept that SpiritCode Institute PTY LTD reserves the right to engage third-party debt collection agencies or legal representatives to recover outstanding amounts. You explicitly agree to cover all costs and fees associated with such debt collection actions, including legal fees, court fees, administrative costs, and any applicable interest.


2. Chargeback and Dispute Policy

You explicitly agree not to initiate any chargeback or payment dispute with your credit card company, bank, or third-party payment processors. Should you file a chargeback or payment dispute, you acknowledge and agree that you will be responsible for repaying any amounts successfully reversed via the chargeback, in addition to covering all administrative, collection, and legal costs incurred by SpiritCode Institute PTY LTD in contesting the chargeback.


3. Payment Plan Commitment

You acknowledge and explicitly agree that your selection of a Payment Plan represents a firm commitment to paying the full purchase price, regardless of whether or not you complete, actively use, or participate in the Services purchased. Failure to actively participate, attend, or utilize the Services does not release or reduce your financial obligation under any Payment Plan arrangement.


4. Failed or Late Payments

If a payment attempt is unsuccessful for any reason, including insufficient funds, declined transactions, or expired cards, you explicitly authorize SpiritCode Institute PTY LTD to retry processing the payment on your nominated card or payment method up to three additional times. You also agree to promptly update or provide an alternative valid payment method upon our written request. Continued failure to fulfill payment obligations may result in the suspension of access to Services, referral to debt collection, or legal action.


5. Currency and Exchange Rate Risks

For Services charged in currencies other than your local currency, you explicitly acknowledge and accept that exchange rate fluctuations or international transaction fees applied by your financial institution are solely your responsibility. SpiritCode Institute PTY LTD bears no responsibility or liability for such fees, charges, or losses arising from foreign currency exchange rate fluctuations.


6. Reservation of Right to Modify Pricing

SpiritCode Institute PTY LTD explicitly reserves the right to change the prices, fees, or Payment Plan terms for Services at any time without prior notice. However, any such pricing changes will not retroactively affect payments already processed or Payment Plans already agreed upon at the time of purchase.


7. Tax and Financial Responsibilities

You explicitly acknowledge and accept sole responsibility for any and all taxes, duties, or governmental charges levied upon your purchases, transactions, or use of Services. This includes, without limitation, sales taxes, GST, VAT, or income taxes that may be applicable based on your jurisdiction.

Force Majeure Clause

Neither SpiritCode Institute PTY LTD nor you (the Consumer) shall be liable for any delay or failure to perform obligations under this agreement if caused by an event beyond reasonable control, including but not limited to natural disasters, epidemics, pandemics, government restrictions, war, terrorism, power failures, internet disruptions, or other unforeseen events. Both parties agree to promptly notify the other upon the occurrence of any such event.


Entire Agreement Clause

These Payment Policy terms constitute the entire agreement between you (the Consumer) and SpiritCode Institute PTY LTD regarding payments and supersede any previous arrangements, communications, representations, or understandings, whether written or verbal.


Severability Clause

If any provision within these Payment Policy terms is found invalid, illegal, or unenforceable by a court or competent authority, such provision shall be amended to the minimum extent necessary to ensure validity, legality, and enforceability, or if amendment is not possible, it shall be severed. The remaining provisions shall continue to remain fully valid, legal, and enforceable.


Governing Law and Jurisdiction

These Payment Policy terms are governed exclusively by the laws of New South Wales, Australia. Both you (the Consumer) and SpiritCode Institute PTY LTD irrevocably agree to submit to the exclusive jurisdiction of the courts located in New South Wales for resolving any disputes arising under or in relation to these terms.


Updates and Amendments

SpiritCode Institute PTY LTD reserves the right to amend or update these Payment Policy terms at any time without prior notice. Any changes become effective immediately upon posting on our website. It is your responsibility as the Consumer to periodically review the Payment Policy to stay informed of any changes.


Acknowledgement and Agreement

By proceeding with payment, you explicitly confirm that you have read, fully understood, and agree to be bound by this Payment Policy. You acknowledge and agree that these terms constitute a legally binding contract between you and SpiritCode Institute PTY LTD.

If you are under 18 years of age, you confirm that you have shared this Payment Policy with your parent or legal guardian, and they have expressly agreed to these terms on your behalf and authorized your purchase.
